Our goal is to help empower individuals on their personal health journeys by providing a digital ecosystem where professional Trainers can share their services and Clients can discover and benefit from tailored, on-demand or scheduled Training sessions.
These Terms and Conditions (“Terms”) outline the legal framework and detailed rules that govern your interaction with the Stadami Platform. They ensure transparency, mutual understanding, and security for all users—whether you’re a Trainer offering services or a Client booking them. By reading and agreeing to these Terms, you help us maintain a professional and accountable digital training marketplace that supports trust and fairness.
These Terms apply fully to your use and access of the Stadami website , our iOS and Android mobile applications for Clients and our iOS and Android mobile applications for Trainers, any future APIs, software interfaces, email communications, third-party integrations, and all content, tools, and features made available by Stadami via stadami.com or through any of our official mobile platforms (collectively referred to as the “Platform” or “Stadami”).
Stadami is operated and maintained by LOSI Sp. z o.o., a limited liability company legally registered and incorporated in Poland, with its principal office located at Korytnicka st. 46/52, Warsaw, 04-109, Poland. In this document, terms such as “Stadami,” “we,” “our,” and “us” refer to LOSI Sp. z o.o..
By accessing, registering for, browsing, or using any portion of the Platform in any capacity—either as a Trainer, Client, or third-party observer—you confirm that you accept and consent to be bound by these Terms in their entirety, along with the additional documents referenced herein: our Cookie Policy of Stadami, our Privacy Policy of Stadami, our Stadami’s motivational promotional programme and any other supplemental rules or guidelines made available on the Platform or communicated to you electronically.
If you disagree with any part of these Terms or choose not to be legally bound by them, you must refrain from using the Platform and should terminate your use immediately. Continued access to the Platform constitutes ongoing acceptance.
1.ELIGIBILITY AND CHILDREN’S POLICY
1.1 Eligibility to Use the Platform: Stadami is designed and maintained for use by individuals who are legally capable of entering into binding agreements. You must be at least 18 years of age to register and create an account on the Platform. Individuals who are under the age of 18 but at least 13 years old may access the Platform only through an account created and actively managed by a parent or legal guardian who agrees to assume full legal responsibility for the use of the Platform by the minor.
1.2 Account Restrictions for Minors: The account used by a minor must be clearly identified as a guardian-managed account. All purchases, bookings, and interactions must be supervised by the responsible adult. The Trainer is not responsible for verifying the age of the Client, but Stadami may use verification tools (such as document scanning or biometric confirmation) to ensure compliance with age restrictions.
1.3 Future Youth Services: Stadami understands the growing interest in youth fitness and adolescent coaching. While direct accounts for minors are currently prohibited, the Platform may in the future develop structured solutions (e.g., youth programs, school-based group plans) that comply with legal requirements and incorporate additional parental controls.
1.4 Age Verification Measures: Stadami reserves the right to implement automated and manual identity and age verification tools at any time. Any user found falsifying their age or identity during registration or use of the Platform may be subject to immediate account suspension or termination without notice.
2. DEFINITIONS
To provide clarity and consistency across this document, the following terms are used throughout the Terms and shall have the meanings assigned below:
2.1 “Trainer“: A registered user who creates, promotes, and provides fitness, sport, wellness, or similar coaching services to Clients through the Stadami Platform. Trainers act as independent professionals and are not employees or agents of Stadami.
2.2 “Client“: A registered user who books, purchases, or otherwise participates in Trainings offered by Trainers via the Stadami Platform.
2.3 “Training“: A structured or flexible service session created and delivered by a Trainer, including but not limited to personal training, group training, one training from the Training Package, physical rehabilitation, wellness coaching, yoga, sport-specific training, or other health-related services provided either in person (offline) or remotely (online).
2.4 “Order“: A transaction formed when a Client pays for a specific Training or Training Package or access to the Group Training. It constitutes a binding agreement between Client and Trainer, subject to these Terms.
2.5 “Training Package“: A “Training Package” refers to a bundled set of multiple Training sessions sold together at a defined price point, often offered at a discount compared to individual bookings. Training Packages are valid for 90 days from the date of purchase. After this validity period, any unused sessions will be considered forfeited and the package will be treated as successfully completed; no refunds, rescheduling, or extensions will be possible. The price for each package is set by the Trainer, allowing them the flexibility to tailor offerings according to their expertise and your needs. Payment for the Training Package is processed at the time of purchase. Trainers receive funds proportionally as each session within the package is completed.
2.6 “Custom Offer“: A tailored proposal prepared by a Trainer to meet a Client’s specific goals or preferences, incorporating unique services, scheduling options, or pricing arrangements not otherwise available through standard listings.
2.7 “Stripe“: The third-party payment provider used by Stadami to process all transactions, facilitate KYC/AML verification, and ensure regulatory compliance with EU and international financial standards. Users must agree to Stripe’s terms to use Stadami’s financial functions.
2.8 “Service Fee“: The 20% service fee (inclusive of applicable VAT, if applicable) retained from the Trainer by Stadami from each transaction, as described in 4.6 of this Terms. This fee is a standart fee and covers digital services provides by the Platform, which aslo includes development, support, moderation, marketing, and compliance infrastructure. The fee may be changed by the platform according to the Stadami’s motivational promotional programme or other applicable promo initianted by the Platform unilaterally at its sole discretion.
2.9 “VAT OSS System“: The EU’s One Stop Shop (OSS) mechanism through which Stadami collects, reports, and remits value-added tax (VAT) for cross-border digital services based on the Trainer’s tax residence.
2.10 “Claim period“: means the 24 hours period after the scheduled end time of a Training.
2.11. “User(s)“: refers to any person using the Platform, including both Trainers and Clients. Unless a specific provision clearly indicates that it applies exclusively to either Trainers or Clients, all terms and conditions contained herein shall be deemed to apply to any User.
3. PLATFORM OVERVIEW
3.1 Stadami operates as a digital marketplace and technology platform that connects independent Trainers with Clients who are seeking physical fitness, sport-specific training, wellness coaching, or other related services. The Platform enables Trainers to publish their offerings, manage bookings, and receive payments, while allowing Clients to discover, review, and book Trainers according to their individual goals, locations, and preferences.
3.2 Stadami does not itself provide Trainings and is not a party to the contractual relationship between Trainers and Clients, other than in its role as a facilitator and intermediary. Trainers operate independently and are not employees, agents, or representatives of Stadami. Clients acknowledge that all services purchased are rendered solely by the Trainer selected and that Stadami’s role is limited to supporting the transaction infrastructure.
3.3 Use of the Platform requires account creation. Users are responsible for ensuring the accuracy and completeness of the information provided at registration and must maintain the confidentiality of login credentials. You may not impersonate another person or allow unauthorized third parties to access your account. Failure to comply may result in account restriction or termination.
3.4 Stadami provides technology tools for Trainers to manage their public profiles, schedule availability, respond to Client inquiries, and deliver virtual or in-person Trainings. Stadami does not pre-screen or verify every Training listed, although it may intervene in cases of suspected fraud, abusive behavior, or community violations.
3.5 Stadami reserves the right to monitor the use of the Platform for quality assurance, legal compliance, and system optimization. By using the Platform, you grant Stadami permission to collect performance data, engagement metrics, and transaction information for statistical, operational, and improvement purposes.
3.6. The Platform may contain links to or integrations with third-party services. Stadami is not responsible for the content, policies, or performance of these services. Your use of them is governed by their own terms.
3.7. Use Through App Stores (Apple App Store and Google Play):
When accessing or using the Stadami Platform through its official mobile applications available on the Apple App Store or Google Play Store, your use may be additionally governed by the respective app store’s terms of service, end-user license agreements (EULA), and other applicable policies. These third-party terms are binding and may impose limitations, responsibilities, or obligations separate from those outlined in these Terms.
In the event of any direct conflict between these Terms and the applicable terms and conditions of the Apple App Store or Google Play, the terms of the respective app store shall take precedence—but only insofar as your use of Stadami is conducted via the affected app store channel and only to the extent required by those terms. All other provisions of these Terms shall remain fully applicable.

3.8. Use of Google Maps Platform APIs
The Stadami Platform uses services provided by Google Maps Platform APIs. In accordance with Google Maps Platform API Terms of Service, users are hereby informed that:
- By using the Stadami Platform and any features that incorporate mapping, location, or routing functionalities, you also agree to be bound by the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
- This notice constitutes an explicit incorporation of Google’s Terms into Stadami’s Terms of Use.
- These Terms of Use are publicly available and apply to all users accessing any part of the Platform that utilizes Google Maps services.
If you do not accept Google’s Terms, you must refrain from using Stadami’s features that rely on Google Maps APIs.
4. TRAINERS
4.1 Registration and Eligibility: Any user who wishes to offer services as a Trainer on the Stadami Platform must undergo a registration and verification process. This process includes, but is not limited to, uploading proof of identity (e.g., a government-issued ID), completing an onboarding form, and accepting additional legal declarations of professional conduct and data protection obligations. Stadami reserves the right to refuse or revoke Trainer status at its discretion, including in cases where legal or ethical concerns arise.
Trainers are independent contractors and are not employees, agents, or representatives of Stadami. Nothing in these Terms shall be construed as creating an employer-employee relationship.
4.2 Professional Standards: Trainers are expected to conduct themselves professionally, ethical, and respectful manner at all times when using the Stadami Platform or interacting with Clients and in accordance with local laws and Stadami’s Terms.. This includes:
- maintaining an accurate, truthful, and regularly updated public profile, including qualifications, experience, and service offerings;
- clearly communicating the structure, duration, and nature of each Training, clearly describing the services they offer;
- respecting scheduled time slots and showing up punctually to all confirmed Trainings;
- providing Trainings with appropriate care, attention, and diligence;
- avoiding any behavior that could be considered misleading, inappropriate, discriminatory, or offensive;
- ensuring that all communication with Clients is courteous, relevant to the services provided, and free of harassment or solicitation for off-platform interaction.
Trainers must also adhere to all applicable local laws, professional licensing rules (if any), and general principles of good conduct, including respecting the dignity and autonomy of Clients.
Stadami prohibits the use of fake identities or nominee accounts to receive earnings. Trainers must be the actual beneficiaries of their payouts. Fraudulent behavior may result in account suspension, fund withholding, and legal action.
Violations of these standards—including but not limited to late cancellations, unprofessional behavior, no-shows, or inappropriate communication—may result in warnings, temporary restrictions, reduced visibility, or permanent removal from the Platform.
4.3 Legal and Tax Compliance: Trainers are individually and solely responsible for obtaining all licenses, authorizations, or professional permits required to legally offer their services. Stadami does not provide or facilitate any such authorizations. The Platform merely enables Trainers to create a profile and publish Trainings; it does not verify or supply any permits.
4.4 Insurance Requirements: While Trainers are expected to maintain appropriate liability or commercial insurance for their services, Stadami is under no obligation to verify the existence or adequacy of such coverage. However, Stadami reserves the right to request evidence of insurance at any time. Failure to provide proof upon request may lead to limitations or suspension.
4.5 Content and Listings: Trainers may create listings that showcase their services, pricing, expertise, available time slots, and other relevant information. Trainers may create individual Training, group Training or Training Package or other available category of Trainings. All content must be accurate, honest, and comply with applicable advertising standards.
Stadami does not prohibit the use of AI tools by Trainers when creating content; however, Trainers remain solely responsible for ensuring that all AI-generated content is accurate, lawful, and non-misleading. Stadami reserves the right to review and remove any AI-generated content that is found to be deceptive, harmful, infringing, or otherwise inconsistent with the Platform’s standards.
Stadami reserves the right to assess violations at its sole discretion and to block or remove any listings or accounts when such action is determined to be in good faith and in the best interest of the Platform. Stadami reserves the right to check it at any time. Failure to comply with applicable advertising standards may lead to limitations or suspension.
4.6 Stadami Service Fee and Earnings: Stadami provides digital services of automated training management system and applies a standard rate of Service Fee (“Service Fee for Usage of the Digital Training Management Platform”) of 20% (inclusive of applicable VAT, if applicable) to Trainers for each successfully booked and completed Training. Stadami Service Fee applies to the personal Training, each training from the Training Package and to the group Training or other Trainings. Stadami may apply other rate of Service Fee under the Stadami’s motivational promotional programme.
This fee reflects the value of the digital services rendered by Stadami, which include:
- visibility and placement of the Trainer’s profile,
- promotional support for Trainings,
- and secure facilitation of transactions between Clients and Trainers.
Trainers receive the payment for each Training net of this Service Fee. This fee is not a commission, but rather a fixed services fees for the use of the Stadami Platform and its digital infrastructure.
Earnings and expected payouts are available to Trainers in the “Earnings” section of their account in Stadami application for Trainers.

4.7 Communication and Platform Integrity: Trainers are prohibited from moving communication with Clients outside of Stadami. Violation of this rule may result in a warning or immediate account suspension without notice. In cases where repeated Trainings with the same Client are absent across most bookings, Stadami may treat such patterns as fraudulent activity. In such cases, the Trainer’s account may be permanently deactivated without further explanation. This measure is consistent with Stadami’s good-faith platform integrity policy. Once deactivated, the Trainer will be prohibited from re-registering on the Platform. The decision to deactivate an account may be appealed by submitting a written request with justification to Stadami’s support team.
4.8 Use of Personal Data: Trainers agree to comply with applicable data protection laws, including the GDPR, and must treat Client information (including names, contact details, and health-related preferences) as confidential. This data may only be used to provide services through Stadami and must not be stored, reused, or shared without consent.
4.9 Ratings and Reviews: Clients may rate and review Trainers after each completed Training. Trainers may provide respectful responses. Stadami monitors the system for abuse and reserves the right to remove inappropriate content. Repeated cancellations or lack of follow-up Trainings with Clients—where deemed habitual by Stadami—will result in a lower rating. The Trainer’s rating affects their search ranking, with higher-rated Trainers appearing more prominently. Additionally, eligibility for Stadami promotional tools such as BOOST is also linked to performance and rating.

4A. PAYMENTS
4A.1 Payout Schedule and Method: In accordance with Stripe’s policies, Trainers receive their payouts to the IBAN they provided during onboarding. Payments are typically processed within 7 to 14 days after a Training has been successfully completed without any complaints (“claims”) from the Client (”completed Training”). Stripe, acting as the regulated financial service provider, automatically allocates the service fee to Stadami and transfers the remaining balance to the Trainer after each completed Training.
4A.2 Claims and Delays: If a Client submits a claim regarding the quality or delivery of a Training, the payout may be delayed pending investigation. During this time, Stadami may withhold funds until a resolution is reached or cancel the payout as a result of the resolution of the claim and return money to the Client.
4A.3 Late Claims and Refunds: If a claim is submitted after the 7-day payout period has ended, Stadami reserves the right to initiate a refund request from the Trainer. In such cases, the Trainer is obligated to return 100% of the Training fee (listed price of Training) to the Platform for further compensation to the Client. Once a payout has been disbursed, the service rendered by Stadami is considered fully delivered to the Trainer.
5.CLIENTS
5.1 Account Responsibility: Clients must create and maintain an active Stadami account to access and book Trainings. The Client is solely responsible for the accuracy of personal information provided during registration and for securing login credentials. Sharing login information or account misuse may result in suspension.
5.2 Booking and Payment: Clients may book available Trainings or Training Package directly via the Platform interface. Upon booking, the Client agrees to pay the listed price for the Training in full, which includes all applicable taxes and the Trainer’s set rate. Stadami may, at its sole discretion, offer Clients access to promotional codes or discounts which modify the final payable amount. These offers are applied at the time of booking and are subject to the specific terms and validity periods stated.Bookings are confirmed upon payment and cannot be transferred to third parties. Clients agree not to circumvent the Stadami system or arrange off-platform payments with Trainers.

5.3 Refunds and Cancellations: cancellations made more than 24 hours before the scheduled start of a Training are eligible for a full refund; cancellations made less than 24 hours but more than 12 hours before the scheduled start of a Training are eligible for a 50% refund; cancellations within 12 hours will not be refunded.
If a Trainer fails to attend the scheduled Training, or cancels it less than 12 hours before its scheduled start time, the full amount paid by the Client shall be refunded to the Client’s account. All approved refunds are processed within 7 to 14 days from the date of confirmation by the Platform.Stadami reserves the right to override refund eligibility in cases of fraud, misconduct, or force majeure.
5.4 Behavior and Conduct: Clients agree to maintain a respectful and safe environment during all interactions with Trainers. Harassment, inappropriate behavior, or attempts to manipulate reviews or payments may lead to immediate account deactivation. Clients must follow any safety or preparation instructions provided by Trainers and are responsible for ensuring they are medically fit to participate in physical activities. Communication must take place exclusively through the Platform’s official communication tools. Any attempt to engage Trainers outside the Platform, encourage off-platform cooperation, or any action that could reasonably be perceived as such, will be treated as fraud. The account may be permanently deactivated without warning, with no possibility of re-registration.
5.5 Reviews and Feedback: After completing a Training, Clients are encouraged to leave fair, constructive, and honest reviews. Reviews may only be submitted within 24 hours of the Training’s scheduled end time. Stadami monitors feedback for abuse or manipulation. Repeated false claims or defamatory content may result in restrictions on review privileges or account suspension.
5.6 Claims: If a Client is unsatisfied with a Training, they must notify Stadami within 24 hours of the Training’s scheduled end time. Claims must include a detailed explanation and any available supporting evidence. Stadami will evaluate the case and, if appropriate, issue a refund or other remedy. Claims submitted after the 24-hour period may not be honored unless exceptional circumstances exist.
5.7 Tips: Clients may choose to leave tips for Trainers at their own discretion. Tips may only be leaved within 24 hours of the Training’s scheduled end time. Stadami has no involvement in tips and is not responsible for their availability, amount, or handling. However, if tips exceed the cost of the Training or, in Stadami’s judgment, appear to serve as compensation for the Training itself, they may be treated as standard payments. In such cases, an additional service fee may be applied, or the Client’s account may be permanently blocked.
5.8 No Guarantee of Results: Clients understand that the effectiveness of a Training depends on multiple personal and contextual factors, including effort, health, and consistency. The choice of Trainer, the content of their profile, Training type, pricing, and level of difficulty is entirely up to the Client. Dissatisfaction with a Training due to reasons unrelated to the Trainer’s actual conduct or service quality does not constitute a breach. Stadami provides a safe and secure booking infrastructure but assumes no responsibility for the quality, effectiveness, or suitability of any Trainer or Training session.
6.PAYMENTS, FEES, AND TAXES
6.1 Payment Processing: All financial transactions between Clients and Trainers are processed through Stripe, a regulated third-party payment service provider. Clients authorize Stadami and Stripe to process payments for booked Trainings. Trainers authorize Stadami and Stripe to process payments for booked Trainings and to deduct any applicable fees. Stripe’s payment policies and terms of service are available at: https://stripe.com/en-pl/legal/ssa. Stadami may offer promotional codes, temporary discounts, or custom marketing campaigns which can affect the final price paid by Clients or the net amount received by Trainers (Stadami’s motivational promotional programme). The use of such discounts or promo codes is subject to additional conditions communicated at the time of use stipulated in Stadami’s motivational promotional programme.
Some features may be offered as part of in-app purchases or subscription plans. These are managed through your Apple or Google account. You are responsible for cancelling any subscription prior to renewal to avoid further charges.

6.2 Stadami Service Fee: A standard rate of Stadami service fee of 20% (inclusive of VAT, if applicable) is charged to Trainers for each successfully booked and completed Training. This fee represents the cost of the digital services provided by Stadami, including visibility on the Platform, booking infrastructure, user support, and compliance tools. This fee may be subject to change or promotional adjustment according to Stadami’s motivational promotional programme. Stadami reserves the right to unilaterally modify the standard rate of the service fee. Any such change will be communicated to the Trainer via an in-app notification. The updated standard rate of the Stadami service fee shall apply to the next service ordered by the Trainer after receipt of the relevant notification.
6.3 Payouts to Trainers: Stripe transfers the net amount (after deduction of the service fees and any applicable adjustments) directly to the Trainer’s bank account (IBAN) provided during onboarding or registration. All payments are made to the payment details submitted by the user during the account setup process. Stadami does not verify the accuracy or ownership of the bank account data submitted by users. Stadami bears no responsibility for incorrect or outdated payment information entered by Trainers or Clients, and claims related to failed transfers due to user error will not be reviewed or compensated by the Platform.
6.4 Delays Due to Claims: If a Client files a complaint within the defined claim period, payout to the Trainer may be delayed until the matter is resolved. Stadami reserves the right to suspend disbursement and/or issue partial or full refunds if the Trainer is found to be at fault.
6.5 Late Claims and Refund Recovery: Clients are required to submit any claims within 24 hours of the scheduled end time of a Training. After this 24-hour period, Stadami may, at its sole discretion, still review and accept claims that it deems valid. In such cases, regardless of the time elapsed since the Training or payout, Stadami reserves the right to request compensation or a full refund from the Trainer. The Trainer must return 100% of the original Training listing price to Stadami for redirection to the Client. Stadami considers its service to the Trainer fully delivered once a Training is comleted, but reserves the right to recover funds even after completed payout if a justified issue arises. Failure to cooperate may result in permanent account deactivation.
6.6 Currency and VAT: All prices and payouts on Stadami are denominated in Euros (EUR). Stadami operates under the EU VAT OSS (One Stop Shop) scheme. Applicable VAT is included in the Stadami service fee and is remitted by Stadami to relevant tax authorities. Stadami applies the VAT rate based on the documentation and data provided by the Treiner during registration and onboarding. It is the sole responsibility of each Trainer, to ensure that their billing and tax data on the Platform remains current and accurate. Any failure to update any informationon the Platform is at the user’s risk. Stadami will not retroactively apply VAT corrections to already completed transactions. Updates to billing or tax information will only apply to future transactions processed after the confirmation of such changes by the Platform.
6.7 Right to Modify Fees and Pricing Structure: Stadami reserves the right to modify, update, or restructure its service fees, pricing models, motivational programs, or service rates at any time. Any such changes will be communicated to affected Users at least 14 days in advance, via email and/or in-app notification, in accordance with applicable Polish consumer protection laws. Users who do not agree with the revised fees or pricing structure have the right to terminate their use of the Platform before the new conditions take effect. Continued use of the Platform after the notice period constitutes acceptance of the updated pricing terms. Stadami commits to ensuring transparency and fairness in any adjustments and to providing clear justification where material changes are made.
6.8. STRIPE: Payment processing services for Trainers on Platform are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms or continuing to operate as a Trainer on the Platform you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of the Platform enabling payment processing services through Stripe, you agree to provide the Platform accurate and complete information about you and your business, and you authorise the Platform to share it and transaction information related to your use of the payment processing services provided by Stripe.
7.MODIFICATIONS AND CONSENT
7.1 Updates to Terms: Stadami reserves the right to revise, update, or modify these Terms at any time, particularly in response to changes in law, technology, platform functionality, or user feedback. All changes will be communicated to users through their registered email address and/or through in-app notifications. Continued use of the Platform after such updates constitutes acceptance of the modified Terms.
7.2 Notification of Changes: Users will be provided with at least 14 calendar days’ notice before material changes to the Terms become effective, unless legal or operational urgency requires immediate implementation. It is the user’s responsibility to review such updates and to ensure continued compliance.
7.3 Consent Tracking: Stadami keeps a secure digital log of each user’s acceptance of the current version of these Terms, including timestamps, associated IP addresses, and historical versioning. This record is used for legal purposes and for resolving any potential disputes over user obligations.
7.4 Opting Out: Users who do not agree with revised Terms must discontinue using the Platform. If a user continues to use any services or access their account after changes take effect, it will be assumed that they have accepted the new Terms in full.
8. PLATFORM ROLE AND LIABILITY
8.1 Neutral Marketplace: Stadami operates solely as a digital marketplace that facilitates the connection between Trainers and Clients. The Platform enables Trainers to list their services and Clients to discover, book, and pay for Trainings. Stadami does not directly offer or deliver Trainings and does not act as an employer, partner, or agent of any Trainer.
8.2 Limitation of Liability: Stadami shall not be held liable for any direct or indirect damages, personal injuries, accidents, or disputes arising from the Trainer–Client relationship, the quality of Trainings, or any offline interactions. Clients and Trainers are solely responsible for their engagements, and the Platform provides no warranties as to the outcome, effectiveness, or quality of any Training.
8.3 Booking Infrastructure Only: Stadami guarantees only that the booked Training will be paid for if conducted and confirmed within Platform procedures. Any failure by a Trainer to appear or deliver the Training according to their listing may result in intervention by Stadami to refund the Client, but only where non-performance can be confirmed.
8.4 No Guarantee of Fit: Stadami does not guarantee that a Trainer or Training will be suitable to a Client’s specific needs. Clients are responsible for reviewing Trainer profiles, descriptions, qualifications, and reviews before making a booking.
8.5 Platform Communications and Moderation: Stadami may monitor user activity, messages, and content posted on the Platform to ensure compliance with its Terms and Community Standards. Stadami reserves the right to remove, suspend, or delete any content or account that it deems to violate these Terms or poses a risk to platform safety or reputation.
9. ACCOUNT STRUCTURE AND USER TYPES
9.1 Role Separation: Stadami distinguishes between two core user roles — Trainers and Clients. Each role operates through separate mobile applications and dashboards tailored to its specific functionalities. A single user may operate in both roles but must manage them through distinct interfaces. Users must register separate accounts for each role (Trainer and Client) using the appropriate application and separate e-mail for registration. Shared or merged role functionality within a single account is not permitted.
9.2 Personal Accounts: Individual accounts are designed for personal use by Trainers or Clients. Each user must provide accurate and complete information during registration. Misuse of account types or impersonation is strictly prohibited.
9.3 Corporate and Institutional Use: At this time, Stadami does not support enterprise or organizational accounts (e.g., for gyms, wellness studios, or schools). This feature may be added in future Platform versions, at which point relevant terms and onboarding procedures will be published.
9.4 Account Responsibility: Users are solely responsible for maintaining the security of their accounts, including login credentials and linked payment or identification data. Any unauthorized use must be reported immediately to Stadami support.
9.5 Non-transferability: Stadami accounts are non-transferable. Users may not share or sell access to their accounts or assign their account rights to another person or entity.
9.6 Account Deletion and Termination
Users may delete their account at any time via the Platform settings or by contacting Stadami support at support@stadami.com. Stadami reserves the right to suspend or permanently terminate user accounts in cases of breach of these Terms, fraud, or prolonged inactivity exceeding 12 consecutive months.
10. DISPUTE RESOLUTION AND GOVERNING LAW
10.1 Governing Law: These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Poland, without regard to conflict of law provisions. Where applicable, EU consumer protection rules shall also apply.
10.2 Jurisdiction: Any disputes arising out of or in connection with the use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Warsaw, Poland. No other courts or jurisdictions shall apply, and all users agree to resolve disputes solely under the laws of Poland. However, consumers residing in the EU/EEA/UK may also choose to initiate proceedings in their country of residence, if such rights are granted by applicable law.
10.3 Out-of-Court Resolution: For users located in the EU, in accordance with Article 21(3) of the Digital Services Act, Stadami will cooperate with certified out-of-court dispute settlement bodies upon request. More information about such procedures will be available via Stadami support or on request.
10.4 Internal Complaints System: Stadami maintains an internal complaints-handling system for resolving disputes related to content moderation, access restrictions, account suspension, or payment issues. Users may file a complaint via support@stadami.com and can expect a response within 14 business days.
10.5 Language and Precedence: In the event of any discrepancy between translations of these Terms, the English-language version shall prevail. Any translations of these Terms into other languages are provided for convenience only. Only the English version shall have legal force and be binding for the interpretation and application of the Terms.
11. USER GENERATED CONTENT (UGC), IN-APP CONTENT, INTELECTUAL PROPERTY RIGHTS, MACHINE TRANSLATION
11.1 In-App Content and Intellectual Property Rights
By uploading, posting, or otherwise making content available on the Platform – including but not limited to descriptions, reviews, photos, videos, ratings, trademarks, or any other materials (“User Content”) – the User grants Stadami a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and sublicensable right to use, reproduce, adapt, modify, publish, translate, publicly display, distribute and make available such User Content, in whole or in part, for the purpose of operating, marketing, and promoting the Platform and its services, including through online and offline advertising, social media, and other commercial or informational channels.
This license includes the right of Stadami to use and publish User Content in promotional materials or communications concerning specific services or service providers (e.g. Trainers), unless the User has provided prior written notice clearly identifying the specific content that may not be used for such purposes. Users may at any time limit or withdraw such rights by contacting Stadami in writing, provided that such withdrawal shall not affect any use already made by Stadami before the withdrawal took effect.
All content uploaded by Users is deemed to be submitted with due respect to applicable intellectual property laws, including but not limited to the Polish Ustawa o prawie autorskim i prawach pokrewnych, and must not infringe upon the rights of third parties. In the event of any claim, dispute or proceeding regarding an alleged violation of third-party intellectual property rights or other legal rights, the User who submitted the content shall be solely and fully responsible for resolving such issues at their own expense and shall indemnify and hold harmless Stadami from any liability, damages, costs, or legal fees arising from such claims.
This clause shall be interpreted in accordance with applicable Polish law and EU regulations, including Regulation (EU) 2019/1150 and relevant consumer protection provisions.
11.2. User Generated Content (“UGC”): User Generated Content (“UGC”) refers to the content uploaded by users as opposed to content created by the Platform. All content uploaded to the Platform by our users (Clients and Trainers) is User Generated Content. Stadami does not proactively check UGC for appropriateness, violations of copyright, trademarks, other rights or violations and the user uploading/creating such content shall be solely responsible for it and the consequences of using, disclosing, storing, or transmitting it. By uploading to, or creating content on the Platform, you represent and warrant that you own or have obtained all rights, licenses, consents, permissions, power and/or authority, necessary to use and/or upload such content and that such content or the use thereof in the Platform does not and shall not (a) infringe or violate any intellectual property, proprietary or privacy, data protection or publicity rights of any third party; (b) violate any applicable local, state, federal and international laws, regulations and conventions; and/or (c) violate any of your or third party’s policies and/or terms of service. We invite everyone to report violations together with proof of ownership as appropriate. Violating content may be removed or disabled.
Furthermore, Stadami is not responsible for the content, quality or the Rating of service provided by the Trainers (even if they are BOOS Trainers, Trainers with high Rating, offer Stadami Ads or otherwise). We provide no warranty with respect to Services on Stadami, their delivery and any communications between Clients and Trainers. We encourage users to take advantage of our rating system, our community and common sense in choosing appropriate services.
By offering a Service, the Trainer undertakes that they have sufficient permissions, rights and/or licenses to provide, sell or resell the service that is offered on Stadami. Trainers advertising online their Services, including Trainer profile, must comply with laws and terms of service of the advertising platform or relevant website used to advertise. Failing to do so may result in removal of the Training, as applicable, and may lead to the suspension of Trainer’s account.
Note that it is our Terms in appropriate circumstances to disable and/or terminate the accounts of users who are repeat infringers.
11.3 Machine translation: Certain Stadami’s and user-generated content on the Platform has been translated for your convenience using translation software powered by Google or other services. Reasonable efforts have been made to provide an accurate translation, however, no automated translation is perfect nor is it intended to replace human translators. Such translations are provided as a service to users of the Platform, and are provided “as is”. No warranty of any kind, either expressed or implied, is made as to the accuracy, reliability, or correctness of such translations made from English into any other language. Some user-generated content (such as images, videos, Flash, etc.) may not be accurately translated or translated at all due to the limitations of the translation software.
Google or other translation service disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties of merchantability, fitness for a particular purpose and noninfringement.
The official text is the English version of the Platform. Any discrepancies or differences created in the translation are not binding and have no legal effect for compliance or enforcement purposes. If any questions arise related to the accuracy of the information contained in the translated content, please refer to the English version of the content which is the official version.
12.LIMITATION ON LIABILITY
PROVIDED THAT WE HAVE ACTED WITH REASONABLE PROFESSIONAL DILIGENCE, IN NO EVENT WILL STADAMI, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, ANY WEBSITES LINKED TO IT, THE CONDUCT OF THIRD PARTIES, ANY CONTENT ON THE PLATFORM OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PLATFORM OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
The term “Affiliate” referred to herein, is an entity or person that, directly or indirectly, controls, or is under the control of, or is under common control with Stadami, where control means having more than fifty percent (50%) voting stock or other ownership interest or the majority of voting rights of such entity.
Force Majeure:
Stadami shall not be held liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, wars, armed conflicts, labor strikes, government restrictions, pandemics, cyberattacks, infrastructure failures, or interruptions in telecommunications or power supply. In such cases, affected obligations shall be suspended for the duration of the force majeure event.
13. FINAL PROVISIONS
13.1 Entire Agreement: These Terms, along with the Cookie Policy of Stadami, Privacy Policy of Stadami, Stadami’s motivational promotional programme and any additional legal notices published by Stadami, constitute the entire agreement between you and Stadami regarding your use of the Platform and supersede all prior agreements and understandings.
13.2 Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable for any reason, the remaining provisions shall remain in full force and effect.
13.3 No Waiver: Stadami’s failure to enforce any part of these Terms shall not constitute a waiver of its right to later enforce that or any other part.
13.4 Assignment: Users may not assign or transfer their rights or obligations under these Terms without prior written consent from Stadami. Stadami may assign these Terms without restriction.
13.5. Acceptance of Related Policies
By accepting and using the Stadami Platform, you expressly acknowledge and agree that your use of the Platform is also governed by the following additional documents, which are incorporated herein by reference and constitute an integral part of these Terms:
- the Cookie Policy of Stadami;
- the Privacy Policy of Stadami; and
- the Stadami Motivational Promotional Programme.
You are deemed to have read, understood, and accepted the content of each of the above-referenced policies upon your continued access or use of the Platform. Stadami shall not be held liable in any manner whatsoever for any loss, claim, or consequence arising from your failure to review such policies in full prior to using the Platform. It is solely your responsibility to stay informed of the current version of each applicable policy as may be updated from time to time.
